Terms of Service

These terms explain the rules for using the Techno Morals website and engaging with our software development, product, consulting, cloud, and support services.

These website terms are general terms. For paid projects, the signed proposal, statement of work, invoice terms, product agreement, or master service agreement may include additional or different terms.

1. Acceptance of Terms

By accessing technomorals.com, submitting a contact form, requesting a proposal, using our products, or engaging Techno Morals for services, you agree to these Terms of Service and our Privacy Policy.

If a signed agreement, proposal, statement of work, purchase order, or product-specific contract applies, that document will control where it conflicts with these website terms.

2. Services We Provide

Techno Morals provides software consulting, SaaS development, mobile app development, web development, e-governance systems, cloud and DevOps services, maintenance, integrations, and related digital solutions.

The exact scope, deliverables, timeline, pricing, support level, acceptance criteria, and responsibilities are defined in the applicable proposal, quote, statement of work, or agreement.

3. Quotes, Proposals, and Project Changes

Quotes and proposals are based on the information available at the time they are prepared and may expire or change if requirements, timelines, third-party costs, or assumptions change.

Any work outside the agreed scope may require a revised estimate, change request, additional fees, or a separate statement of work.

4. Client Responsibilities

You agree to provide accurate information, timely feedback, required approvals, content, credentials, access, test data, payment details, and business decisions needed to complete the work.

You are responsible for ensuring that materials, data, logos, content, and instructions you provide do not violate laws, third-party rights, confidentiality obligations, or platform policies.

5. Payments, Taxes, and Refunds

Fees, milestones, payment schedules, taxes, late fees, and payment methods are defined in the relevant proposal, invoice, or agreement.

Unless otherwise stated in writing, paid discovery, design, development, deployment, subscription, hosting, maintenance, and support work is non-refundable once work has started or service access has been provided.

Refunds, credits, or cancellations may be considered case by case only where required by law or expressly agreed in writing.

6. Intellectual Property

Unless a signed agreement says otherwise, Techno Morals retains ownership of pre-existing code, frameworks, templates, know-how, internal tools, reusable modules, processes, and general skills developed or used during projects.

Client-specific deliverables may be assigned or licensed according to the paid agreement after all due payments are cleared. Third-party libraries, APIs, fonts, images, hosting platforms, and open-source components remain subject to their own licenses and terms.

7. Acceptable Use

You must not use our website, products, or services for unlawful, harmful, abusive, fraudulent, infringing, defamatory, obscene, malware-related, spam-related, or security-compromising activity.

You must not attempt unauthorized access, reverse engineer restricted systems, overload infrastructure, bypass security controls, scrape protected data, or interfere with our services or other users.

8. Third-Party Services

Projects may use third-party services such as hosting providers, cloud infrastructure, payment gateways, SMS/email tools, analytics, maps, app stores, APIs, open-source packages, or other vendors.

Techno Morals is not responsible for third-party outages, pricing changes, policy changes, data practices, rejected approvals, or limitations outside our reasonable control.

9. Confidentiality and Security

Each party should protect confidential information received from the other party using reasonable care and use it only for the intended business purpose.

You should share production credentials, sensitive data, and regulated information only through secure channels and only when required for the project. Additional confidentiality or data processing terms may be agreed in writing.

10. Warranties and Disclaimers

We aim to deliver professional, reliable, and secure software services. However, unless expressly agreed in writing, the website and general information are provided on an as-is and as-available basis.

We do not guarantee uninterrupted website access, error-free operation, specific business results, search engine rankings, app store approvals, third-party platform behavior, or outcomes outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, Techno Morals will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages arising from use of our website, services, or third-party tools.

Where liability cannot be excluded, it will be limited to the amount paid by you to Techno Morals for the specific service giving rise to the claim, unless applicable law requires otherwise.

12. Suspension or Termination

We may suspend or terminate access to services, support, accounts, or work where payments are overdue, terms are breached, illegal activity is suspected, security is at risk, or continued service creates legal or operational risk.

Termination does not remove obligations that by nature should survive, including payment dues, confidentiality, intellectual property, limitation of liability, and dispute resolution terms.

13. Governing Law and Disputes

These terms are governed by the laws of India. Unless a separate written agreement states otherwise, disputes will be subject to the courts and competent authorities having jurisdiction in Surat, Gujarat, India.

Before formal proceedings, both parties should try to resolve disputes in good faith through written communication and reasonable escalation.

14. Updates to These Terms

We may update these Terms of Service from time to time. The updated version will be posted on this page with the effective date. Continued use of our website or services after changes means you accept the revised terms.
